Terms of Use
Last updated: 2026-10-12
1. Scope
These Terms govern your use of the Vendor Bidding platform ("the Platform"), a marketplace connecting residential construction project owners ("Builders") with trade contractors ("Vendors"). By creating an account, you agree to these Terms.
2. Intellectual Property in Project Materials
All project plans, blueprints, CAD files, renderings, Scope of Work documents, photographs, and written project materials uploaded by a Builder (collectively, the "Project Materials") are and remain the exclusive intellectual property of that Builder or of the licensor from whom the Builder obtained them. Nothing in these Terms transfers ownership of Project Materials to the Platform operator or to any Vendor.
2.1 Limited License to Vendors
When a Vendor is granted access to Project Materials (via bid submission, signed NDA, or direct Builder invitation), the Builder grants that Vendor a limited, non-exclusive, non-transferable, revocable license to view and use the Project Materials solely for the purpose of preparing a bid on, or performing work related to, the specific project in question.
This license explicitly does not include any right to copy, redistribute, publicly display, modify, create derivative works from, sell, or use the Project Materials for any other project or engagement. The license terminates automatically on (a) bid rejection, (b) project cancellation, (c) NDA revocation, or (d) removal of the Vendor from the Platform.
2.2 Retention & Deletion
Upon termination of the license, the Vendor shall cease all use of the Project Materials and delete any cached, downloaded, or otherwise retained copies within seven (7) calendar days. The Platform provides audit logs of every document access; continued possession after termination may constitute a breach.
3. Access Gating
The Platform applies tiered access controls to Project Materials:
- Preview tier: Available to eligible verified Vendors matched to the project.
- Full tier: Available only to Vendors who (a) hold an active verified status (license and insurance reviewed and approved) AND (b) have either submitted a non-withdrawn bid on the project or signed the project-specific NDA.
4. Verification
Vendors represent and warrant that all license, insurance, and certification documents submitted for verification are true, accurate, and current. The Platform reserves the right to revoke verification and badges at any time, with or without notice, for misrepresentation.
5. Confidentiality
All communications, bids, files, and Project Materials exchanged on the Platform are deemed confidential. You agree not to disclose them to any third party outside the scope of the project in question, except as required by law.
6. Security & Audit
All traffic between your browser and the Platform is encrypted with TLS 1.3. All data stored by the Platform is encrypted at rest using AES-256. Every document access, signed-URL issuance, and credential review is logged; Builders can view the access log for their own projects.
7. Bids & Offers
A bid submitted through the Platform is an offer to contract on the terms stated in the bid. Acceptance of a bid by the Builder creates a contractual relationship directly between the Builder and the Vendor. The Platform is not a party to that contract and is not liable for its performance.
8. Prohibited Conduct
- Circumventing Platform fees, taking projects off-platform after initial introduction, or attempting to poach verified Vendors via unsolicited contact.
- Submitting false or misleading credentials, profiles, or bids.
- Reselling, sharing, or publishing any Project Materials.
- Using the Platform to send unsolicited marketing or spam to other users.
9. Disclaimer
The Platform is provided "as is." We do not guarantee bid outcomes, project awards, workmanship, or the accuracy of any third-party credential. Use the verification signals as one input into your own due diligence.
10. Changes
We may update these Terms. Material changes will be announced in-app with at least 14 days' notice before taking effect. Continued use after the effective date constitutes acceptance.
